Terms and Conditions
These terms and conditions apply to all commercial interactions between Allwood Trading Co. FZE ('Allwood Trading') and other businesses ('Customer') for the enquiry and supply of goods and services. By dealing with Allwood Trading you accept being these terms and conditions and all relevant laws and regulations. Allwood Trading has the right to update these terms and conditions as required without giving notice to the Customer. The Customer agrees to the most recent set of terms and conditions at the time of placing a request or order.
Privacy and Data Policy
All Customer data collected by Allwood Trading, whether via the website, email or any other medium, will be used to help fulfill the Customer's requirements to the best of Allwood Trading's ability. This data will be kept securely by Allwood Trading and all measures will be taken to protect the Customer's information. Allwood Trading is not liable in any way for data shared by the customer and stored by Allwood Trading.

Allwood Trading will keep record and store all communication with the Customer to ensure accountability in case of any complaints or where clarification is needed. These records can also be used to enhance Allwood Trading's offering to the Customer for any future requirements. Allwood Trading will not share Customer information with any third party unless required by law.
All information shared by Allwood Trading, whether on the website, within documents or any other medium including all communication is exclusively owned by Allwood Trading.

Information shared by Allwood Trading should strictly be used to evaluate and complete orders. This information should not be shared with any third party that is not involved in directly purchasing material from Allwood Trading. Allwood Trading should be notified immediately incase any unauthorized use of it's information is found by the Customer.
Choice of Law & Disputes
These terms and conditions, as well as any agreements and obligations will be governed by UAE law. For any disputes between Allwood Trading and the Customer, the primary mode of settlement will be privately between Allwood Trading and the Customer.

When necessary, the relevant UAE court has jurisdiction to settle any disputes between Allwood Trading and the Customer and these general terms and conditions. Allwood Trading also has the right to collect outstanding payments of the Customer at an appropriate court in the Customer's registered country.
Requests & Quotes
Requests placed by customers via the website, email or any other written communication should be complete and outline all requirements. Based on this information, Allwood Trading will provide a complete and precise description of the required products and services. Any images shared by Allwood Trading, or found on the Allwood Trading website are an accurate representation of the goods with an allowance for natural or industry standard variance.
In any quote shared by Allwood Trading, complete details will be provided for the below:

Total price for all goods and services, this must include any agreed on delivery and service costs depending on the chosen service.

Any additional costs that may be applicable, which can't be charged or applied in advance. This includes, delivery surcharges, taxes, duty and any other costs associated with transporting and importing goods into the customers country of choice. All these costs, where possible, will be billed at their actual value by Allwood Trading to the Customer at the relevant time. Allwood Trading is not responsible for costs that fall directly onto the Customer (i.e. Taxes, Duty and any other relevant costs).​

Payment and Estimated Delivery Terms.

The validity period of a quote, if applicable.

Any errors in a quote or other document are not binding for Allwood Trading. This includes typos, incorrect pricing, delivery times or product details that clearly are not aligned with the requirements or request.

Allwood Trading has the right to refuse requests or orders based on any reason including quantity, pricing and other related terms.
Pricing and Order Confirmation
By giving notice to the Customer, Allwood Trading can alter the price at any time before delivery to compensate for an increase in cost to Allwood Trading for factors it can not control such as additional freight, import or any other surcharges. Allwood Trading can also adjust pricing incase of any changes in supplier or raw materials cost during the request and quotation phase.

Any prices shared during the quotation phase are exclusive of all tax, duty and other import costs which will be billed at their actual value to the Customer directly. Unless otherwise stated, Allwood Trading will not be involved in the payment of VAT, Duty or other related costs for the customer.

An order is deemed confirmed upon any advance payment or finalization of a bank facility that will be used for the payment of goods ands services to Allwood Trading. Advance payments are non-refundable unless otherwise stated at the discretion of Allwood Trading. The Customer is responsible for arranging the required payment within reasonable time as decided by Allwood Trading.
Allwood Trading is responsible for confirming the order within reasonable time, and should notify the customer if otherwise without any liability for either party.
Payment Terms
For any order, the Customer and Allwood Trading should follow the agreed upon terms in the final quotation/invoice.
The Customer may complete payment in any way offered by Allwood Trading. The Customer must complete payments within reasonable time of the due date as decided by Allwood Trading. The progress of any orders is dependent on timely payment throughout the order.​ Customer payments are completed when the required funds have been credited the relevant Allwood Trading bank account. The Customer will bear all fees related to payment of the agreed amount.

Should there by any points of different between Allwood Trading and Customer regarding payment, they should be cleared before order confirmation and advance payment. Late payments can be a cause for termination of an order.
Once an order has been placed, any advance payments made to Allwood Trading are non-refundable unless otherwise stated.
Delivery Terms
For all orders, goods are delivered using a 3rd Party Logistics Service (3PL) unless otherwise stated. All information related to receiving goods will be provided by Allwood Trading to the Customer.
Goods will be delivered to the address or location agreed upon at the time of order confirmation between Allwood Trading and the Customer. Depending on the service chosen by the Customer, the Customer will be responsible for a portion of the delivery, and Allwood Trading will not be responsible or liable for delivery once the goods have been delivered to the Customers requested point (i.e. Port).
Allwood Trading may completely or partially cancel an order without any liability at it's discretion, including if any issues arise regarding the delivery of goods. For order cancellations by Allwood Trading, Allwood Trading will refund the paid amount to the Customer within reasonable time if possible.
All timelines shared by Allwood Trading are estimated and not guaranteed. Allwood Trading will not be liable for any delay or adjustment in delivery timeline beyond it's control (such as any changes from the supplier, shipper or other 3rd party vendor used in the order and delivery process) and the Customer will be notified of any changes to the timeline. Depending on weight, volume and other loading requirements, Allwood Trading will at it's discretion adjust the quantity of goods and services to optimize delivery. The Customer should be notified of these adjustments and the total cost to the Customer will be updated accordingly.
Property and Risk
Risk of damage or loss of goods will transfer to the Customer once the goods have either been collected by the Buyer at the agreed upon point, or have been provided to the 3PL company by Allwood Trading. Full ownership of the goods belongs to Allwood Trading until complete payment for all goods and services (including any additional costs and surcharges) has been received by Allwood Trading from the Customer.

The Customer should treat and store the goods during any processing period with care at their own cost. The customer has the right to process and resell the goods in business transactions, while ensuring any obligations or rights for Allwood Trading are met.
Order Completion
The contract, the provision of goods and services, and the completion of work is marked at the time of payment and fulfillment of obligations by Allwood Trading and the Customer. Allwood Trading may halt or terminate the fulfillment of the contract, or add additional criteria in case there are any concerns over the fulfillment of the contract from either side. This includes but is not limited to scenarios where goods and services are unavailable or there is concern over the Customer's ability to complete their payments or other obligations of the order.
Compensation, Credits and Refunds
After the delivery of goods, the Customer must notify Allwood Trading of issues related to the goods or services, including any shortage of goods or sub-standard quality relative to the agreed upon order. The Customer must notify Allwood Trading within 14 days of the goods being handed over to the Customer from Allwood Trading. Allwood Trading may refuse any compensation if raised after the given time frame. When notifying Allwood Trading, the Customer needs to provide proof and evidence for all compensation related issues within the time frame.

Once received and acknowledged, Allwood Trading may take reasonable time to study the details of the issues raised by the customer. Logistics and administrative costs remain non-refundable. If the Customer claims are concluded to be valid by Allwood Trading, refunds, discounts and credits will be provided on a partial basis based on specifics of the Customer's claim.
Insolvency of Customer
Incase there are any concerns over the Customer's ability to complete their payment obligations, Allwood Trading can cancel outstanding orders or suspend any further deliveries without any liability to either party.
Force Majeure
Allwood Trading will not be held liable for any inability to perform because of Force Majeure. This includes all unforeseen and extraordinary circumstances including: natural events (i.e. earthquakes, floods and others); work and labor related occurrences (i.e. strikes); any violence related events (i.e. war, terror and civil/social disorder), changes in laws and regulations of any governing authority; pandemics, illnesses and other health related disruption; and any other issues that significantly inhibit Allwood Trading's operations.
